1. Introduction and Definitions

These Terms and Conditions ("Agreement") govern your use of Web-Feet.co.uk Limited's ("Web-Feet", "we", "us", "our") services, including website design, development, hosting, domain registration, and support services.

Key Definitions

  • Service – Any service provided by Web-Feet, including but not limited to website design, hosting, domain registration, email, maintenance, and support
  • You or Your – The individual or business entity purchasing services from Web-Feet
  • Website or Site – The website created, hosted, or maintained by Web-Feet on your behalf
  • Content – All text, graphics, logos, photographs, images, videos, sound, illustrations, and any other website material

2. Domain Name Registration and Management

2.1 Registration Process

Upon your request, Web-Feet will seek registration of a domain name on your behalf. We will:

  • Check availability of your chosen domain name
  • Apply for the domain if available
  • Recommend suitable alternatives if your preferred domain is unavailable

2.2 Ownership and Administration

  • You will be listed as the registered owner of any domain we register for you
  • Web-Feet (or a designated third party) will be listed as the administrative and billing contact
  • We reserve the right to reject any domain registration request at our sole discretion, including requests for prohibited domain names

2.3 Your Responsibilities

  • You are responsible for ensuring your domain name does not infringe upon any registered trademarks or intellectual property rights of other organisations
  • If a dispute arises following registration, Web-Feet will not be held liable

2.4 Domain Renewal and Expiry

  • Domain names are registered for an agreed term (typically 12 or 24 months)
  • You have the right to renew your domain for further terms
  • We will only renew domains upon receipt of payment
  • If your agreement terminates and you wish to transfer your domain to another provider, you will be required to pay an administration fee of up to £65 + VAT per domain

2.5 Domain Transfer

If you request a domain transfer to Web-Feet's control, we may charge up to £65 + VAT to cover administration costs and potential registrant transfer fees. This fee typically includes an extension to the renewal period.


3. Website Design and Development

3.1 Payment and Deposits

  • Upon placing an order, a non-refundable deposit of 50% is required
  • The remaining balance is payable upon completion of the website
  • Your website will only be uploaded to live hosting space once final payment has been received in full

3.2 Content Provision

We require you to provide as much content as possible during the design process, preferably in electronic format. If you provide printed materials, we may charge additional fees at our standard hourly rate for data entry.

3.3 Copyright and Intellectual Property

  • During Construction: All designs, ideas, and intellectual property created during the construction phase remain the copyright of Web-Feet.co.uk Limited
  • Upon Completion: Once the website is completed and payment is received in full, the copyright of the finished website (including design, content, images, navigation, and structure) transfers to you for your sole use
  • Your Content: You warrant that all content you provide is either original or that you own all necessary rights and licences to use such content. You are solely responsible for ensuring you have the right to use any images you provide to us for use on your website. Web-Feet will not be held responsible for any content that breaches copyright laws or intellectual property rights

3.4 Design Approval and Changes

  • We will provide a design based on discussions held during the project consultation
  • Once you have approved the design in writing, any subsequent changes are subject to additional charges
  • We will provide you with access to a preview of your website during construction via a test web address
  • This allows you to request changes and provide feedback before the site goes live

3.5 Site Backups

  • Web-Feet maintains a copy of your original website and appropriate backups on our servers
  • Depending on your hosting package, backups of content updated by you on dynamic websites may not be automatically taken
  • If you require a master copy of your original website on CD or other media, this can be arranged at an additional cost

3.6 Project Completion

  • Upon completion and your approval, we will upload your website to live hosting space
  • Your website will then be accessible via your domain name
  • Final payment must be received prior to uploading the live site
  • A small link to Web-Feet's website will be included in the footer for marketing purposes

3.7 Incomplete Projects

We reserve the right to invoice you the remaining balance if, after six months from placing the order, the project cannot be completed due to lack of feedback or content from you or your organisation.


4. Website Hosting

4.1 Hosting Options

You may choose for Web-Feet to host your website through our hosting partners, or you may select an alternative hosting company of your choice.

4.2 Third-Party Hosting

If you choose to use an alternative hosting provider, Web-Feet reserves the right to charge an administration fee for liaison with that provider and for ensuring that web forms, databases, e-commerce functionality, and associated settings function correctly. Web-Feet will not be responsible for the security, performance, or accessibility of your chosen hosting provider.

4.3 Service Availability

  • Due to the nature of the internet, we cannot guarantee that your website will be accessible 100% of the time
  • In the event of any accessibility issues, we aim to rectify problems as quickly as possible
  • Web-Feet will not accept any liability or responsibility for losses arising from website inaccessibility, regardless of the cause

4.4 Security and PCI-DSS Compliance

Please see Section 22 below regarding website security and PCI-DSS requirements.


5. Website Amendments After Completion

5.1 Maintenance Options

Once your website is completed, you may either maintain it yourself or engage Web-Feet to maintain it under a maintenance agreement (see Section 7).

5.2 Self-Maintenance

  • If your website includes a database or content management system, you may be able to make changes directly through the site manager
  • For static websites without database functionality, we recommend contacting us to undertake changes at our standard hourly rate
  • After final upload, all changes you make to the website are your responsibility
  • If we need to correct any work you have undertaken, we will invoice you at our standard hourly rate applicable at that time

5.3 Change Requests

  • Any changes you request, such as removing or adding items, will be charged at our standard hourly rate
  • Alternatively, you may opt for our maintenance agreement to manage ongoing updates
  • Our minimum charge is 1 hour at our standard hourly rate

6. Email Services

6.1 Email Setup

When we register your domain name, we will also arrange for email addresses to be set up. We offer limited support in configuring your computer(s) and devices to receive incoming emails. Specifically, we will:

  • Provide telephone support to assist with email configuration guidance
  • Send you a test message to confirm correct setup
  • Note that we are unable to provide on-site visits for email configuration

We are not an IT company and our support is limited to basic configuration guidance only. You are responsible for ensuring you have appropriate IT support available to set up and maintain email on your own computers and devices. We strongly recommend you engage qualified IT support if you require additional assistance.

6.2 Email Reconfiguration

If you make changes to your system, network, or email programme, we may charge a fee to reconfigure your email settings. Please note that we recommend you consult with your own IT support for system and network changes.


7. Maintenance Agreements

7.1 Purpose

If you require ongoing changes to your website, we recommend a maintenance agreement. This prepaid service entitles you to a set number of hours of design and development work.

7.2 Scope of Work

Maintenance agreements typically cover:

  • Revising photographs, prices, and product information
  • Updating telephone numbers and contact details
  • Adding and managing special offers
  • Other content updates

Maintenance agreements do not include additional pages, site redesigns, or new functionality – these are classed as new work and will be charged separately.

7.3 Payment and Terms

  • Charges for maintenance agreements are non-refundable and valid for the specified period
  • Unused hours cannot be carried forward or transferred without prior written agreement
  • The cost of the maintenance agreement will be determined based on your predicted workload

8. Search Engine Optimisation (SEO) Services

8.1 Service Offerings

Web-Feet offers various search engine optimisation services with different levels of support.

8.2 Success Not Guaranteed

  • The success of search engine rankings is not guaranteed
  • New websites can take several months to achieve meaningful rankings with major search engines
  • SEO results depend on many factors, including content quality, competition, and algorithm changes

9. Service Renewals

9.1 Renewal Schedule

  • Domain Names: Renewable every 12 or 24 months (as agreed)
  • Hosting Packages: Renewable annually
  • SEO Services: Renewable annually or six-monthly (depending on the service agreement)
  • Other Services: Renewable annually unless otherwise specified

9.2 Payment and Conditions

  • Once a service is ordered or renewed, payment for the entire period must be made in full
  • We will only renew services upon receipt of payment
  • For service renewals, invoices will be issued approximately six weeks prior to the renewal date
  • Payment must be received by the invoice due date to ensure continuity of services
  • If payment is received late, we take no responsibility for ensuring renewal takes place or for providing continuity of service

10. Payment Terms and Methods

10.1 New Orders

For new orders (except marketing and support orders):

  • A non-refundable deposit of 50% is required upon signing the order
  • The outstanding balance is payable against the final invoice
  • Final payment must be received before the website goes live

10.2 Service Renewals

  • Invoices are issued approximately six weeks before the renewal date
  • Prompt payment is essential to ensure continuity of services
  • If payment is late, we cannot guarantee service renewal or continuity

10.3 Other Invoices

All other invoices must be settled within the terms specified on the invoice.

10.4 Payment Methods

We accept the following payment methods:

  • Online bank transfer (BACS)
  • Card payment through our website using Stripe
  • Card payment over the phone using Stripe

We do not accept cash or cheques. All payments must be made via the methods listed above.

10.5 Late Payment Interest

Web-Feet may charge daily interest on late payments at a rate of 4% per annum above the base lending rate of Lloyds TSB Bank plc.


11. Limitation of Liability

11.1 Indirect Loss

Web-Feet shall have no liability to you for any indirect loss or expense (including loss of profits) arising from a breach of this Agreement by us.

11.2 Third-Party Services

Web-Feet is not responsible for the performance, availability, or reliability of third-party services, including hosting providers, domain registrars, and payment processors.


12. Title and Risk

12.1 Payment and Ownership

  • Property and title of work carried out by Web-Feet shall not pass to you until payment has been made in full
  • Risk passes to you upon delivery or site upload

12.2 Service Suspension

If payment for website design work is not received or if site service fees are not paid, Web-Feet reserves the right to suspend all services until payment is made in full.


13. Acceptance of Goods or Design Work

13.1 Deemed Acceptance

  • You will be deemed to have accepted the website or design work five working days after it has been delivered to you or made available for review
  • Time is of the essence in this clause

13.2 Acceptance is Final

  • After acceptance, you are not entitled to reject the website or design work that you have previously signed off
  • No refunds or credits will be provided following acceptance

13.3 Rejection Process

  • If you properly reject any website or design work that does not conform to the agreed specifications, you must notify Web-Feet promptly
  • Notice of rejection must be provided within five working days of delivery
  • Time is of the essence – failure to notify within this period constitutes acceptance

14. Support Agreements

14.1 Database and E-Commerce Support

If Web-Feet provides you with a database-driven or e-commerce website, you will be required to sign up to an appropriate support agreement.

14.2 Support Terms

Under a support agreement, Web-Feet will provide support via:

  • Dedicated telephone number
  • Email facility
  • Support during normal working hours

For serious issues, we endeavour to provide limited support on a "best efforts" basis outside normal working hours.

14.3 Support Without Agreement

If you do not have a support agreement in place, any support will be charged at our standard hourly rate and provided on a "best efforts" basis only.


15. Buyer's Remedies

15.1 Rejection of Work

If you properly reject any design work or goods within the specified timeframe, Web-Feet shall have no further rights in respect of that work or goods, and no further obligations shall apply.

15.2 Accepted Work

If you accept or are deemed to accept any design work or goods, Web-Feet shall have no liability whatsoever for any subsequent issues or disputes.


16. Insolvency or Default of Buyer

If you fail to make payment for work carried out or goods supplied, or if you commit any other breach of this Agreement, or if you enter into bankruptcy or insolvency proceedings, Web-Feet may:

  • Declare all outstanding sums immediately payable
  • Suspend all work, services, or delivery of goods
  • Exercise all rights under Section 12 (Service Suspension)

17. Set-Off and Counterclaim

You may not withhold payment of any invoice or amount due to Web-Feet by reason of any set-off, counterclaim, or any other reason whatsoever.


18. Waiver

No waiver or forbearance by Web-Feet in enforcing any rights under this Agreement (whether expressed or implied) shall prejudice our right to enforce those rights in the future.


19. Force Majeure

Web-Feet shall not be liable for any failure to perform its obligations arising from acts beyond our reasonable control, including but not limited to:

  • Acts of God
  • War, terrorism, or civil unrest
  • Strike, lock-out, or industrial action
  • Fire, flood, drought, tempest, or natural disaster
  • Any other event beyond our reasonable control

21. Governing Law

This Agreement is subject to the law of England and Wales. Any legal proceedings shall be governed by the courts of England and Wales.


22. Website Security and PCI-DSS Requirements

22.1 Website Owner Responsibility

It is your responsibility as the website owner to ensure the ongoing security of both your data and your customers' data.

22.2 Payment Card Industry (PCI-DSS) Compliance

  • You (the merchant) are responsible for complying with PCI-DSS requirements as set out by the PCI Security Standards Council and your merchant bank
  • Web-Feet takes no responsibility whatsoever for PCI-DSS compliance failures – these are solely your responsibility
  • You must ensure PCI-DSS compliance at all times

22.3 Card Data Storage

Under no circumstances must any card data or sensitive data be stored, processed, or transmitted on any Web-Feet website. If we become aware of any such attempts, we reserve the right to:

  • Inform your merchant bank immediately
  • Suspend or remove services until compliance is achieved

22.4 Third-Party Access

If you grant third-party access to your website, you remain solely responsible for ensuring PCI-DSS compliance at all times.

22.5 IT Security Policy

You are solely responsible for maintaining an IT security and access policy that complies with PCI-DSS requirements at all times.

23. Monthly Payment Plans

23.1 Agreement Terms

  • The charge for the service is the full invoice amount
  • Accepting monthly payments does not provide for early cancellation simply because the service is paid for monthly

23.2 Default

  • The full remaining balance becomes immediately due if agreed monthly payments are missed
  • The facility to pay in monthly instalments will be withdrawn

24. Minimum Charges

We charge a minimum of one hour at our standard hourly rate for any work undertaken. We recommend you either collect small changes together to be completed in one session, or consider a maintenance agreement where only used time is charged.


25. Service Suspension Due to Non-Payment

If your account is in serious arrears and timely payment is not received for issued invoices, Web-Feet reserves the right to suspend all services until payment is made in full.

Web-Feet will not be responsible for any losses (direct, indirect, or otherwise) arising from service suspension due to non-payment.


26. Changes to Terms and Conditions

Web-Feet reserves the right to update these Terms and Conditions at any time. Changes will be effective upon posting to our website. Your continued use of our services constitutes acceptance of the updated terms.
